RELEASE OF LIABILITY, ASSUMPTION OF RISK, HOLD HARMLESS AND INDEMNIFICATION AGREEMENT In consideration of Venture Elite allowing me and/or Participant(s) to participate in Venture Elite activities and foam dart gun games and to use Venture Elite equipment and facilities, the undersigned, on his or her behalf, and on the behalf of the Participant(s) identified below, acknowledges, understands, and agrees to the following: 1. I represent that I am the parent or legal guardian of the Participant(s) on this waiver. 2. I acknowledge and understand that there are known, and unknown risks associated with participation in Venture Elite activities and the use of foam dart guns and other equipment and the Venture Elite facilities. Specific risks range from minor injuries, such as contusions, fractures, scrapes, cuts, bumps to major injuries, such as catastrophic injuries such as paralysis or death. I, for myself and the Participant(s) named, willingly assume the risks associated with participation and accept that risks may arise due to the NEGLIGENCE OF VENTURE ELITE, or its employees or agents, in addition to risks that may arise due to OTHER PARTICIPANTS which I also willingly assume. 3. I, for myself, the Participant(s) named, our heirs, assigns, representatives, and next of kin agree to hold harmless, release, waive and indemnify Venture Elite LLC, and their predecessors, parents, subsidiaries and affiliates, officers, and employees (“Releasee”) from any and all injuries, liabilities or damages incurred, EVEN IF THE LOSS OR INJURY MAY HAVE BEEN CAUSED SOLELYOR PARTLYBY RELEASEE’S OWN NEGLIGENCE. I additionally agree to indemnify Releasee for any defense cost or expense arising from all claims, injuries, liabilities, or damages arising from participation, EVEN IF THE LOSS OR INJURY MAY HAVE BEEN CAUSED SOLELYOR PARTLYBY RELEASEE’S OWN NEGLIGENCE. 4. I represent for myself, and the Participant(s) named, that we have the physical, mental, and emotional ability to participate in Venture Elite activities and games, and do not have any limitations or medical ailments that would prevent or limit participation. I agree that the Participant(s) named, and I shall comply with all stated and customary terms, posted safety signs, rules, and verbal instructions as conditions for participation in any activity or event at Venture Elite. 5. I understand that entry, by myself and the Participant(s) named, constitutes consent for Venture Elite to use any photo, film, video, or likeness of Participants for any purpose whatsoever, without payment to the Participant. 6. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect. 7. Any controversy, dispute, or claim arising out of or related to this Agreement, which the parties are unable to resolve through private negotiations and mutual agreement within sixty (60) days of notice of the controversy, dispute, or claim, shall be submitted to mediation before a mutually agreeable mediator in Travis County, Texas or Williamson County, Texas. The laws of the State of Texas shall govern. this agreement, save and except for its conflicts of law principles. 8. I agree and acknowledge that I have read this Release of Liability, Assumption of Risk, Hold Harmless and Indemnification Agreement, and am legally competent to understand and complete this agreement. I hereby execute this agreement freely and without coercion. I have been given the opportunity and have been encouraged to seek independent legal advice prior to signing this Release of Liability, Assumption of Risk, Hold Harmless and Indemnification Agreement.
